GE HealthCare Acquires Intelerad for $2.3B to Create Cloud-First, AI-Enabled Imaging Ecosystem

– GE HealthCare announced the acquisition of Intelerad, a medical imaging software provider, for $2.3 billion in cash. 

– The deal is set to accelerate GE HealthCare’s shift to a SaaS business model and expand its AI-enabled imaging solutions across high-growth outpatient and ambulatory care settings.

Strategic Merger: Expanding Cloud-First Imaging to Outpatient Care

The strategic acquisition underscores GE HealthCare’s commitment to cloud-enabled and AI-powered solutions and furthers its aim to triple its offerings of cloud-enabled products by 2028.

The integration is highly complementary:

  • Intelerad’s Strength: Intelerad has a significant presence in outpatient ambulatory care settings with cloud-first products designed for radiology and cardiology.
  • GE HealthCare’s Strength: GE HealthCare maintains leadership in hospital-based imaging.

Together, the combined capabilities will create a comprehensive, cloud-first, and AI-enabled imaging offering spanning diverse care settings, from academic medical centers to rapidly expanding ambulatory networks.

By combining GE HealthCare’s medical device and AI competence at global scale with Intelerad’s enterprise cloud and imaging expertise, we will be even better positioned to meet the evolving needs of healthcare providers, simplify complex workflows, and drive digital innovation across the industry,” said Roland Rott, President and CEO of Imaging at GE HealthCare.

Accelerating GE HealthCare’s Growth Strategy

The acquisition is expected to deliver highly attractive financial benefits and accelerate GE HealthCare’s growth strategy.

  • SaaS and Recurring Revenue: Intelerad’s business model accelerates GE HealthCare’s shift towards a SaaS model and significantly increases recurring revenue. Intelerad’s first-year revenues are estimated at approximately $270M, of which approximately 90% is recurring.
  • High-Growth Market: The deal enables GE HealthCare to expand into the outpatient enterprise imaging segment, which represents an attractive high-growth, $2B-plus opportunity worldwide.
  • Financial Profile: The transaction is expected to be immediately accretive to top line growth and Adjusted Earnings Before Interest and Taxes (EBIT) margin. GE HealthCare expects a high-single-digit return on invested capital by year five.

AI and Workflow Orchestration: The Precision Care Journey

The integration is critical for advancing precision care. The acquisition brings AI and workflow orchestration, cloud PACS, and image sharing—all in a SaaS model—to GE HealthCare. By combining GE HealthCare’s extensive AI portfolio with Intelerad’s cloud and AI orchestration capabilities, the combined entity will be better positioned to meet the evolving needs of healthcare providers and simplify complex workflows.
