M&A: Included Health to Acquire Clinically-Integrated Health Plan Firefly Health

What You Should Know

  • All-in-one healthcare delivery firm Included Health has signed a definitive agreement to acquire clinically integrated health plan and advanced primary care provider Firefly Health, with closure targeted for Q3 2026.
  • The combined entity pairs Included Health’s AI-native navigation platform with Firefly’s NCQA-accredited advanced primary care model, dynamic benefit design, and a nationwide network of 2,300+ in-person, in-home, and specialty partners.
  • Across its full Administrative Services Only (ASO) book of business in 2025, Firefly Health demonstrated a 15% reduction in total cost of care compared to risk-adjusted market benchmarks, with individual clients achieving over 17% in savings.
  • The acquisition addresses rising healthcare expenditures by offering a health plan alternative for the nearly 41% of employers considering alternative plan designs without resorting to narrow networks or higher member cost-sharing.
  • The integrated model combines primary care, behavioral health, virtual and in-person navigation, and plan administration into a single benefits framework maintaining 90% member satisfaction.

AI Navigation Engine and Advanced Primary Care Architecture

Expected to close in the third quarter of 2026 pending regulatory approval, the transaction unites Included Health’s national AI-native navigation and clinical platform with Firefly Health’s clinically integrated ASO plan design.

The acquisition integrates Firefly’s health plan administration into Included Health’s existing clinical framework:

  • NCQA-Accredited Advanced Primary Care: Embeds Firefly’s team-based primary care engine into Included Health’s national clinical network, spanning primary care, mental health, specialty care, and complex case management.
  • Dynamic Benefit & Plan Design: Aligns incentive structures so that directing members to high-value, high-quality virtual and in-person care providers automatically yields the lowest out-of-pocket costs for employees.
  • Expanded In-Person & Near-Home Ecosystem: Connects Included Health’s digital front door with Firefly’s network of 2,300+ vetted in-person, in-home, and specialty partner locations nationwide.
  • AI-Native Clinician-in-the-Loop Platform: Leverages Included Health’s provider quality data engine to guide members dynamically toward optimal clinical pathways in real time.

“We’ve spent years shoulder to shoulder with employers and their members, and we’ve heard the same frustration again and again — the system isn’t built around what people actually need,” stated Owen Tripp, co-founder and CEO of Included Health. “Firefly’s proven results in total cost of care and member experience align and complement our core offerings. Together, we’re giving employers a single, connected benefits experience.”

As Included Health and Firefly Health finalize the transaction in Q3 2026, they establish an operational benchmark for how digital-first healthcare companies can scale comprehensive alternative health plans for self-insured employers nationwide.
